Fortissimo Nears $400 Million Deal for RGIS International Operations

Background :

Fortissimo Capital is in advanced talks to acquire a controlling stake in part of RGIS’s international business from Blackstone in a deal valued at around $400 million. If completed, the transaction will mark the Israeli private equity firm’s second major deal with Blackstone. 

The proposed acquisition covers the company that owns RGIS’s operations in Israel and several international markets. RGIS is one of the world’s largest inventory management companies, providing inventory-counting and stock management services to retailers, manufacturers, healthcare organisations and logistics companies. 

Founded in Michigan in 1958, RGIS expanded from serving supermarkets into a global business operating in 66 countries. The corporation created software that enables the direct integration of stock information with the customer’s computer system. Blackstone bought RGIS in 2006 for $1.5 billion and then expanded into Europe, Asia-Pacific and the Mediterranean regions. 

In 2021, RGIS divested itself of its operations in North America to WIS International. It refocused its business on other countries except those in the USA and Canada. The company also strengthened its European business by acquiring a majority stake in inventory specialist Ivalis Group. 

In Israel, RGIS operates through ISIC-RGIS, serving retail chains, supermarkets, importers, fashion companies, pharmacies, hospitals and industrial businesses. Besides inventory-counting services, it also offers shelf merchandising and inventory loss reduction solutions. 

Fortissimo manages about $2.7 billion across six investment funds and has investments in industrial, healthcare and technology companies. Blackstone bought a 70% interest in Priority Software in 2024 for $800 million, with Fortissimo and TA Associates holding minority stakes.
